This Independent Contractor Agreement ("Agreement") is made and entered into as of [Date], by and between My Tutor Studio Inc., a [State] corporation ("Company"), and [Contractor's Full Name], an individual ("Contractor").

1. SERVICES PROVIDED

Contractor agrees to provide tutoring services as an independent contractor, offering educational assistance in the subjects agreed upon between the Contractor and Company. The Contractor will deliver these services through the Company's platform to students assigned by the Company.

2. TERM

The term of this Agreement shall begin on the date first written above and shall continue until terminated by either party in accordance with the termination provisions set forth in this Agreement.

3. COMPENSATION

5. SCHEDULING AND AVAILABILITY

The Contractor shall set their availability through the Company’s platform, and the Company will assign students based on that availability.The Contractor agrees to be punctual and prepared for all scheduled tutoring sessions.The Contractor will notify the Company of any changes in availability as soon as possible.

6. CONFIDENTIALITY

The Contractor agrees to maintain the confidentiality of all student information, lesson plans, and any proprietary materials provided by the Company.The Contractor shall not disclose any information related to the Company’s business, clients, or operations to any third party without the prior written consent of the Company.

7. INTELLECTUAL PROPERTY

Any materials, lesson plans, or resources created by the Contractor in the course of providing services under this Agreement shall be the property of the Company.The Contractor agrees not to use, share, or sell any intellectual property developed under this Agreement outside of the services provided to the Company.

8. TERMINATION

Either party may terminate this Agreement at any time, with or without cause, by providing [Insert Notice Period] written notice to the other party.Upon termination, the Contractor shall return all Company property, including but not limited to, materials, documents, and access to online platforms.

9. LIABILITY

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous understandings, whether written or oral, relating to the subject matter hereof.

12. AMENDMENTS

Any amendments or modifications to this Agreement must be in writing and signed by both parties.

13. SEVERABILITY

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

14. NON-EXCLUSIVITY

The Contractor may provide services to other clients or engage in other business activities, provided that such activities do not interfere with the performance of services under this Agreement.
